1. Agreement to Terms

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and MindGryd Software Private Limited, a company incorporated under the laws of India ("Company", "we", "us", "our"), governing your access to and use of the Atmatic.ai platform and services ("Platform", "Service", "Services").

If you are entering into this Agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. In such case, "you" and "your" shall refer to such entity.

Atmatic.ai is an artificial intelligence agent platform that enables users to build, deploy, and manage context-aware, explainable, and collaborative AI agents for business automation. The Platform provides:

• AI agent creation and configuration tools
• Agent deployment and management capabilities
• Integration with third-party services and APIs
• Monitoring, analytics, and reporting features
• Documentation and support resources

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

To use our Services, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Services under applicable laws
• Provide accurate, current, and complete information during registration

By using our Services, you represent and warrant that you meet all eligibility requirements.

5. Account Registration and Security

5.1 Account Creation

To access certain features of the Platform, you may be required to create an account. You agree to:

• Provide accurate, truthful, and complete registration information
• Maintain and promptly update your account information
• Keep your login credentials confidential and secure
• Immediately notify us of any unauthorized access or security breach

5.2 Account Responsibility

You are solely responsible for all activities that occur under your account. We shall not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.

5.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause or notice, including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of applicable fees
• Extended periods of inactivity
• Requests by law enforcement or government agencies

6. Acceptable Use Policy

6.1 Permitted Use

You may use the Platform only for lawful purposes and in accordance with these Terms. You agree to use the Platform in a manner consistent with all applicable laws, regulations, and industry standards.

6.2 Prohibited Activities

You agree NOT to:

• Use the Platform for any illegal, fraudulent, or unauthorized purpose
• Violate any applicable local, state, national, or international law or regulation
• Infringe upon or violate the intellectual property rights of others
• Upload, transmit, or distribute any viruses, malware, or malicious code
• Attempt to gain unauthorized access to the Platform, other accounts, or computer systems
• Interfere with or disrupt the integrity or performance of the Platform
• Reverse engineer, decompile, or disassemble any portion of the Platform
• Use the Platform to harass, abuse, defame, or threaten others
• Create AI agents that engage in deceptive, harmful, or unethical practices
• Use the Platform to collect personal information without proper consent
• Resell, sublicense, or redistribute the Platform without authorization
• Use automated means (bots, scrapers) to access the Platform without permission
• Circumvent any security measures or access controls
• Use the Platform in any way that could damage, disable, or impair our servers

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Platform, including all content, features, functionality, software, text, graphics, logos, trademarks, and other materials ("Company IP"), is owned by MindGryd Software Private Limited and is protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms do not grant you any right, title, or interest in the Company IP. You may not copy, modify, distribute, sell, or lease any part of the Platform or Company IP without our prior written consent.

7.2 Your Content

You retain ownership of any content, data, or materials you upload, submit, or create using the Platform ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, store, and display such content solely for the purpose of providing and improving the Services.

You represent and warrant that:

• You own or have the necessary rights to use and share your User Content
• Your User Content does not infringe on any third-party rights
• Your User Content complies with all applicable laws and these Terms

7.3 Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Platform ("Feedback"), you hereby assign to us all rights in such Feedback and agree that we may use and disclose the Feedback in any manner and for any purpose without compensation or attribution to you.

8. Fees and Payment

8.1 Pricing

Some features of the Platform may be subject to fees. All fees are quoted in the currency specified at the time of purchase and are exclusive of applicable taxes unless stated otherwise.

8.2 Payment Terms

If you subscribe to paid Services, you agree to pay all applicable fees as described on the Platform. Payment is due upon subscription and will recur according to your selected billing cycle unless cancelled.

8.3 Refund Policy

All fees are non-refundable except as expressly stated in these Terms or as required by applicable law. If you believe you are entitled to a refund, please contact us at [email protected].

8.4 Price Changes

We reserve the right to modify our pricing at any time. Price changes will not apply to your current billing cycle but will take effect upon renewal. We will provide reasonable notice of any price increases.

9. Third-Party Services and Integrations

The Platform may integrate with or provide access to third-party services, APIs, or applications ("Third-Party Services"). Your use of Third-Party Services is subject to their respective terms of service and privacy policies.

We do not control, endorse, or assume responsibility for any Third-Party Services. You acknowledge and agree that we shall not be liable for any damage or loss caused by your use of or reliance on any Third-Party Services.

10. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MINDGRYD SOFTWARE PRIVATE LIMITED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES: Warranties of merchantability, fitness for a particular purpose, title, and non-infringement
• AVAILABILITY: That the Platform will be uninterrupted, secure, or error-free
• ACCURACY: That the information or content provided is accurate, complete, or current
• RESULTS: That the Platform will meet your requirements or achieve any specific results
• AI OUTPUTS: That AI-generated content, recommendations, or outputs will be accurate, appropriate, or error-free
• SECURITY: That the Platform is free from viruses, malware, or other harmful components

You acknowledge that AI technology is continuously evolving, and the outputs generated by AI agents may contain errors, inaccuracies, or biases. You are solely responsible for reviewing and validating any AI-generated outputs before relying on them for business decisions.

11. Limitation of Liability

This includes, but is not limited to:

• Loss of profits, revenue, or business
• Loss of data or information
• Loss of goodwill or reputation
• Business interruption
• Cost of substitute services
• Any damages arising from AI agent actions or outputs
• Damages arising from unauthorized access to your account
• Damages arising from third-party services or integrations

MAXIMUM LIABILITY: In no event shall our total cumulative liability to you for all claims arising out of or relating to these Terms or the Services exceed the greater of (a) the amounts you paid to us in the twelve (12) months preceding the claim, or (b) One Hundred United States Dollars (USD $100).

These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless MindGryd Software Private Limited, its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Platform or Services
• Your User Content
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of any third-party rights
• Any AI agents you create, deploy, or manage using the Platform
• Any actions or outputs of AI agents created through the Platform
• Any claims by third parties affected by your use of the Platform

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

13. Confidentiality

During your use of the Platform, you may have access to confidential information relating to the Platform, our business, technology, or operations ("Confidential Information"). You agree to:

• Keep all Confidential Information strictly confidential
• Not disclose Confidential Information to any third party
• Use Confidential Information only for the purposes of using the Platform
• Take reasonable measures to protect the confidentiality of such information

These obligations do not apply to information that: (a) is or becomes publicly available through no fault of yours; (b) was known to you prior to disclosure; (c) is independently developed by you; or (d) is required to be disclosed by law.

14. Term and Termination

14.1 Term

These Terms commence upon your first access to or use of the Platform and continue until terminated in accordance with this section.

14.2 Termination by You

You may terminate your account and these Terms at any time by discontinuing use of the Platform and requesting account deletion by contacting [email protected].

14.3 Termination by Us

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.

14.4 Effect of Termination

Upon termination:

• Your right to access and use the Platform shall immediately cease
• We may delete your account and User Content
• You remain liable for any obligations incurred prior to termination
• Sections that by their nature should survive termination shall survive (including but not limited to: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law)

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

You agree that any dispute arising out of or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.

Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights.

16. Dispute Resolution

16.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first attempt to resolve any dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute informally within 30 days.

16.2 Arbitration

If informal resolution is unsuccessful, any dispute shall be finally resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted by a single arbitrator in Bengaluru, Karnataka, India. The language of arbitration shall be English.

16.3 Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO BRING CLAIMS AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. All disputes must be resolved on an individual basis.

17. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, civil unrest, government actions, labor disputes, pandemics, power failures, internet disruptions, or third-party service failures.

18. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by:

• Posting the updated Terms on the Platform
• Updating the "Last Updated" date
• Sending you an email notification (for registered users)

Your continued use of the Platform after any changes to these Terms constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Platform.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and MindGryd Software Private Limited regarding the Platform and supersede all prior agreements and understandings.

19.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

19.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

19.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

19.5 No Partnership

Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and us.

19.6 Notices

Notices to us must be sent to [email protected]. Notices to you will be sent to the email address associated with your account or posted on the Platform.
